1. Acceptance of Terms

By accessing the website of Valens MedEd or utilizing any software provided within our educational technology portfolio (including but not limited to EPALens, SAE-Coach, Valens Prep, and any future platforms developed by us), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services or software.

2. Software License & Usage Restrictions

Valens MedEd grants you a limited, non-exclusive, non-transferable license to use our software for its intended educational or administrative purpose. You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code of any proprietary software logic, clinical matrices, or AI frameworks.
  • Reproduce, duplicate, copy, sell, or exploit any portion of the software without express written permission from Valens MedEd.
  • Use the software in any manner that violates institutional policies, university codes of conduct, or local data privacy laws.

3. Medical Disclaimer

All tools, software, and content provided by Valens MedEd are intended strictly for educational and administrative purposes. Our software is not a diagnostic tool, nor is it a substitute for professional medical judgment. Valens MedEd software should never be used to make direct clinical decisions or dictate patient care. Trainees and students must always be supervised by qualified attending physicians where applicable.

4. User Accounts & Subscriptions (Valens Prep)

For our consumer-facing platforms that require account registration:

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • Subscriptions: Access to premium content is subject to the payment of applicable fees. Subscription terms and renewal policies will be clearly outlined at the point of purchase.
  • Fair Use: Accounts are for individual use only. Sharing account access, scraping question banks, or mass-downloading proprietary study materials will result in immediate account termination without refund.

5. Intellectual Property

All content, branding, clinical assessment matrices, software interfaces, algorithms, and logos (including the Valens Shield) are the exclusive intellectual property of Valens MedEd. Your use of our tools does not grant you ownership of any intellectual property rights in our services or the content you access.

6. Limitation of Liability

To the maximum extent permitted by law, Valens MedEd and its founders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the software, any errors in matrix calculations, or the outcomes of university competency committee decisions relying on our tools.

7. Modifications to Terms

We reserve the right to modify these Terms at any time. As we transition software from beta prototypes to enterprise releases, terms related to enterprise licensing and university service-level agreements (SLAs) will be drafted and mutually agreed upon via separate contracts.
